Matthew joined Thomson Wilks Inc. on 1 August 2024 as a consultant attorney in their Corporate and Commercial Department, with extensive experience across a widerange of commercial and corporate finance transactions, including mergers and acquisitions, private equity deals and corporate restructurings. He also advise on matters of regulatory compliance and corporate governance.
As a lead attorney for both private and public entities (reporting directly to executivesand senior management), Matthew represented clients from the earliest stages ofdeal inception and structuring, through complex due diligence investigations and on to the preparation, negotiation and due implementation of term sheets and transaction agreements.
Further togeneral M&A, the portfolio also included inter alia: corporate finance (including off-balance sheet/supply chain financing); corporate restructurings; supply and distribution agreements; service level agreements; licensing and franchise agreements; due diligence investigations; management of co-investor relations; and regulatory affairs (including merger notificationsto the South African competition authorities) with a specific emphasis on the healthcare and pharmaceutical sector.
