Paula Conway (Haynes) holds BA and LLB degrees from WITS University and an Advanced Diploma in Banking Law from RAU (now UJ). After being admitted as an attorney in 1994, Paula worked in the banking and finance departments at large law firms in South Africa and Australia and at international banks as in-house counsel (Deutsche Bank and HSBC). Paula also worked at the Legal Practice Council of Western Australia as a lecturer in property and commercial law and is admitted as a solicitor in New South Wales and Western Australia.
Paula has over 21 years’ experience predominantly in banking and finance across multiple banking and finance products including:
· Treasury Products (cash equities and bonds, securities lending, repos, structured notes, OTC derivatives etc) including negotiating master agreements such as ISDAs, GMSLAs, GMRAs, BAFTs etc)
· Global Trade and Receivables
· Credit and lending (bilateral and syndicated) including security documents
· Cash payments
· Corporate finance etc.
Paula is very well versed in the international and local finance regulatory environment (Banks Act, PA Directives, Financial Markets Act, EMIR, MiFID II, MAR, Dodd Frank, FAIS, FICA, POCDATARA, POCA, JSE Listing Requirements, Exchange Control Regulations, Authorised Dealer Manual, Companies Act, PASA rules, POPIA, PAIA etc) having been integrally involved with the interpretation and implementation of new legislation and regulations including making submissions to Parliament on draft regulations.
Paula also has sound experience of general commercial law and commercial agreements as well as the Companies Act including business rescue.
